Offsite Ad Terms

These Offsite Ad Terms (“Terms”) apply when Advertiser creates a campaign that allows ads to be shown on a third-party website, application, device, or other property containing ad inventory made available by a third party for purchase or delivery (“Third-Party Properties”). These Terms supplement and amend the Pinterest Advertising Services Agreement or other agreement governing Advertiser’s use of the Pinterest ad service between Advertiser and Pinterest (the “Agreement”). By creating an ad campaign that allows ads to be shown on Third-Party Properties, Advertiser agrees to these Terms. Capitalized terms used but not defined in these Terms have the meanings given in the Agreement or the Ad Data Terms, as applicable.

1. Services.

a. For ad campaigns subject to these Terms, the term Ad Service Properties as defined in the Agreement includes Third-Party Properties. 

b. Advertiser will obtain and grant to Pinterest all rights and permissions reasonably necessary to enable Pinterest to buy Third-Party Property inventory on Advertiser’s behalf (and on behalf of any client of Advertiser), perform tracking and analytics, and store and serve ads, including any use of third-party ad servers, measurement services, or other technologies or service providers engaged by Advertiser that are permitted for use in ad campaigns under these Terms by Pinterest. 

c. Pinterest may, in its sole discretion, grant exceptions in writing (email is sufficient) to the restricted content guidelines set forth in the Pinterest Advertising Guidelines located at https://policy.pinterest.com/en/advertising-guidelines for ad campaigns running on Third-Party Properties. 

d. Pinterest may make tools available to allow Advertiser to set certain parameters  for  their ad campaigns. Subject to such parameters, Pinterest shall solely determine which Third-Party Property inventory to bid on for Advertiser’s ad campaigns.

2. Data.

a. In addition to the uses described in the Ad Data Terms located at https://policy.pinterest.com/ad-data-terms/, Pinterest and its affiliates may: 

i. Use Ad Data for measuring ad effectiveness and performance, targeting, ad delivery, and reporting for ads running on Third-Party Properties, and, if necessary, share Ad Data with service providers for such purposes, subject to data use and sharing restrictions and confidentiality obligations at least as restrictive as those in these Terms or the Agreement. 

ii. Place an impression tag on Ad Content for ads running on Third-Party Properties. All data collected by the impression tag is Pinterest Data. 

iii. Use Activity Data that Advertiser shares with Pinterest to optimize ads on Third-Party Properties, but only in combination with data from Pinterest or from other sources in a way that doesn’t identify Advertiser or any individual to any third party. 

iv. Use Contact Information to match users to corresponding users on Third-Party Properties and match those users with corresponding Activity Data. Pinterest will use Contact Information for matching purposes only. “Contact Information” means information Advertiser shares with Pinterest or enables Pinterest to access that can be used to directly identify an individual, such as name, email address, or phone number. 

b. In addition to Advertiser’s responsibilities under the Ad Data Terms, Advertiser must clearly disclose and have all necessary rights, permissions and lawful bases (including consent, if required) required by applicable laws  for the collection (including the setting and reading of cookies), sharing and use (including by Pinterest and third parties as set forth in these Terms or the Ad Data Terms) of Ad Data as needed to serve ad campaigns on Third-Party Properties under these Terms. 

c. The Data Sharing Terms in the Agreement shall apply as follows:

i. Exhibits A (Pinterest Data Sharing Addendum) and C (U.S. State-Specific Data Terms) to the Agreement shall apply to Ad Data connected to ad campaigns on Third-Party Properties. 

ii. Pinterest’s processing of LDP Data as set forth in Exhibit C to the Agreement applies solely to Ad Data shared via tools made available by Pinterest for disclosure and processing of LDP Data. 

3. Fees and payment.

Advertiser is responsible for and will pay to Pinterest all applicable fees charged by Pinterest in connection with ad campaigns running on Third-Party Properties.The metrics reported by Pinterest shall be decisive, including for purposes of calculating amounts owed. If applicable third parties assess creative approval fees, Pinterest may pass such fees on to Advertiser.

4. Applicable Terms.

Nothing in these Terms limits any of our rights under the Agreement and any Policies they may reference. We reserve the right to update these Terms from time to time, and your continued creation of ad campaigns to run on Third-Party Properties will constitute your acceptance of those changes.

5. Conflicting Terms.

In the event of any express conflict between these Terms and the Agreement or Ad Data Terms, these Terms will govern solely with respect to your ad campaigns running on Third-Party Properties, and solely to the extent of the conflict. If any portion of these Terms is found to be unenforceable, then (except as otherwise provided) that portion will be severed and the remaining portion will remain in full force and effect.
